Official Rules

NO PURCHASE NECESSARY. OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES OR THE DISTRICT OF COLUMBIA, 18 YEARS OF AGE OR OLDER AS OF DATE OF ENTRY.

  1. Contest Period: The Popsicle Powered By Imagination Contest (the “Contest”) begins at 9:00AM Eastern Time (“ET”) on July 26, 2021 and ends at 11:59PM ET on September 30, 2021 (the “Contest Period”).

  2. Eligibility: Open to legal residents of the 50 United States or the District of Columbia, 18 years of age or older as of date of entry. For purposes of the Contest and these Official Rules, the person submitting the Entry (as defined below) is considered the “Entrant”. Officers, directors, and employees of Conpoco, Inc., d/b/a Unilever (“Sponsor”), Don Jagoda Associates, Inc. (“Administrator”), their respective affiliates, parents, subsidiaries, divisions, suppliers, distributors and advertising, promotional and judging agencies (all such individuals and entities are collectively referred to herein as the “Released Parties”), and each of their respective employees, shareholders, directors, officers, members and agents and their immediate family members spouses, parents, children, and siblings and their spouses) and/or those living in the same household of each are not eligible to participate or win. If applicable, all federal, state and local taxes are the sole responsibility of the winner. Void where prohibited by law and subject to all federal, state, and local laws.

  3. How to Enter: To enter, visit https://www.popsicle.com/us/en/playzone/powered-by-imagination.html  (the “Site”) and follow the onscreen instructions to complete the registration form, and upload an image or pdf that complies with the “Submission Requirements” (defined below) showing or explaining your original idea (each, a “Submission”) for one (1) of the following three (3) categories relating to the Popsicle brand (each a “Category”): 
    1. Joke on a Stick – Create a short joke that could be featured on a Popsicle® stick that is no more than ninety (90) characters [sixty (60) for the question and thirty (30) for the answer].  For examples of current Popsicle® stick jokes, see https://www.popsicle.com/us/en/playzone/jokes.html.
    2. Popsicle Pack Art Design – Create original artwork that you envision being featured on a Popsicle® package and submit a photo or digital rendering of the artwork.  The artwork can be any media and feature a variety of textures, materials, and shapes; or
    3. Popsicle Flavor -  Pick out different fruits and ingredients to create what you imagine would be a fun and new Popsicle® flavor.  Write down the ingredients and flavor combination along with a short description about the taste of the new flavor.  Each flavor description should be no more than 250 words.

      You will receive one (1) Entry for each Submission that you upload through the Site in the corresponding Category only.  There is no limit on the number of Submissions per person per Category, but each Entrant is only permitted to win one (1) prize in the Contest.  All Submissions will be judged, as described below.  Submissions must be in English. By entering, you understand that your Submission in its entirety or portion thereof may (in Sponsor’s sole discretion) be posted on websites, Social Media sites and/or other Sponsor-selected media. Normal data/Internet access and usage charges imposed by Entrants’ online/phone service will apply. Except as otherwise contemplated in these Official Rules, and to the extent Entrants may otherwise elect at the time of entry, personal information collected in connection with the Contest will be used in accordance with Sponsor’s privacy policy located at https://www.unilevernotices.com/usa/english/privacy-notice/notice.html.
  4. Submission Requirements: Each Submission must comply with the following “Submission Requirements” outlined in this Section.  Each Submission must not contain obscene, profane, lewd, defamatory or inappropriate text including acts of violence or acts that appear to cause harm or are illegal/dangerous, as determined at Sponsor’s sole discretion. Any Submission or portion thereof that is, in the Sponsor’s sole discretion, obscene, profane, lewd, defamatory, highlights brand in a negative way, contains any third party materials (other than Popsicle®), or otherwise violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand or other proprietary right of any person living or deceased (including, but not limited to, rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable, will not be considered and may disqualify the Entrant. Entrants may not copy or otherwise plagiarize the Submission from any source.  Submissions should relate to Popsicle and not consist of or contain copies of any other existing third-party work or creation or infringements of any third-party intellectual property (IP) right. This means all Submissions containing third party IPs, for example, such as any reference of Marvel and DC Comics™ Superheroes, Star Wars™, Lord of the Rings, etc. will not be eligible for the Contest. Submission must be uploaded in one of the following formats: ‘png’, ‘jpg’, ‘jpeg’, or ‘pdf’. Sponsor has the sole discretion to determine whether a Submission qualifies. All Submissions must be the sole, original work of the Entrants. If your Submission is determined and verified as a Grand Prize winner you will be required to assign to the Sponsor all rights, titles, and interests that you may be deemed to have in any reproduction, product, or derivative work using or incorporating the Submission. You further agree to waive any moral rights in and to the Submission. Automated, script, macro or robotic Submissions will be disqualified. Any Submission not in compliance with the above and does not meet the Site’s requirements will be disqualified. Submissions related to the topics below do not fit Sponsor’s brand values and will not be approved for production by Sponsor:
    • Politics and political symbols, campaigns, or movements
    • Religious references including symbols, buildings, or people
    • Sex, nudity, drugs, or smoking
    • Alcohol in any present-day situation
    • Swearing or profanity
    • Death, killing, blood, terrorism, horror, or torture
    • First-person shooter video games
    • Warfare or war vehicles in any modern or present-day situation, or national war memorials
    • Large or human-scale weapons or weapon replicas of any kind, including swords, knives, guns, sci-fi or fantasy blasters, etc.
    • Racism, bullying, or cruelty to real life animals
  5. Finalists, Judging and Winner Notification: All Submissions will be judged by a Sponsor-selected panel of judges (“Judges”) on or about October 15, 2021. Submissions will be judged based on the following criteria: 34% Overall Inventiveness and Originality; 33% Creativity; and 33% Alignment with Popsicle’s Heritage and Theme of “Powered by Imagination” (the “Judging Criteria”). Up to the six (6) highest-scored Submissions in the “Joke on a Stick” Category, up to the two (2) highest-scored Submissions in the “Popsicle Pack Art Design” Category, and up to the one (1) highest-scored Submission in the “Popsicle Flavor” Category will be determined potential Grand Prize winners. Any tied Submissions in a given Category will be re-judged by the judges based 100% on Overall Inventiveness and Originality, to determine the applicable Grand Prize winner(s). Judges’ decisions are final with respect to all matters relating to the Contest. By participating, Entrants agree to the Official Rules and the decisions of the Judges, which shall be final and binding in all respects.

  6. Grand Prizes and Approximate Retail Values (“ARV”)
    1. Joke on a Stick Grand Prize (6 total prizes are available):
      • $2,500 check made payable to the winner
      • Grand Prize winner’s Joke on a Stick (as outlined in their Submission) may be included on the new Popsicle product sticks as determined by the Sponsor in its sole discretion
      • A winner gift box, which includes a one-year supply of Popsicles, awarded in the form of free product coupons.
    2. Popsicle Pack Art Grand Prize (2 total prizes are available):
      • A $2,500 check made payable to the winner
      • Grand Prize winner’s Popsicle pack art design may be included on the new Popsicle product as determined by the Sponsor in its sole discretion
      • A winner gift box, which includes a one-year supply of Popsicles, awarded in the form of free product coupons.
    3. Popsicle Flavor Grand Prize (1 total prize is available):
      • A $2,500 check made payable to the winner
      • Grand Prize winner’s Popsicle flavor may be included as a new flavor for one of the new Popsicle products, as determined by the Sponsor in its sole discretion
      • A winner gift box, which includes a one-year supply of Popsicles, awarded in the form of free product coupons.

        The ARV of each Grand Prize is $2,700. There is no retail value (or any payment) associated with any winner’s Submission being included in any packaging, advertising and marketing, in Sponsor’s sole discretion. All Grand Prizes will be awarded in the Spring of 2022.

        Prizes will be awarded provided a sufficient number of eligible Submissions that meet Sponsor’s minimum quality requirements are received per Category.  Potential Grand Prize winners understand and agree that, as a condition of being awarded the prize, Grand Prize winner may be subject to a background check at the sole discretion of Sponsor; failure to comply may result in disqualification and forfeiture of prize. In addition, at the discretion of the Sponsor, potential Grand Prize winner may be disqualified: (a) if charged with or convicted of a felony or misdemeanor; (b) if Sponsor determines, in its sole discretion, that awarding the prize to such individual may reflect unfavorably on the Contest or Sponsor; (c) if he/she is not eligible to receive the prize based on the eligibility requirements set forth in these Official Rules; (d) if Sponsor determines that he/she failed to comply with these Official Rules in any way; or (e) if he/she refuses to or cannot accept the prize for any reason.

        No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prize(s) of comparable value if any prize listed is unavailable, in whole or in part, for any reason.

        Grand Prize winners must declare clearly that their Submissions are not involved in any other competitions, contests, or other promotions and have not been previously launched commercially.Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Contest.  WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
  7. General Rules: Each potential Grand Prize winner will be required to sign and return, a Declaration of Eligibility and Liability Release, tax documents, and except where prohibited, publicity release and assignment of rights (“Declaration”), within ten (10) business days (which excludes weekends and holidays) of notification in order to be confirmed as a Grand Prize winner. If any potential Grand Prize winner fails to return the completed within ten (10) business days, Declaration is returned as undeliverable, such potential Grand Prize winner may be deemed to be ineligible, the Grand Prize will be forfeited and an alternate potential Grand Prize winner will be determined. Declaration will be sent to the potential Grand Prize winner via email. Return of prize notification as undeliverable may result in disqualification and alternate determination. Each Entrant agrees that Sponsor (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from Entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  By participating in the Contest, Entrants and Grand Prize winners agree to be bound by these Official Rules and the decisions of the Judges. The Sponsor and its agencies are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Contest or by any human error which may occur in the processing of the Submissions in the Contest or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with the Contest. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry or the operation of the Contest; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of an Entrant, the authorized account holder of the email address used to enter will be deemed to be the Entrant. “Authorized account holder” of an email address is defined as the natural person who is assigned to an email address by an Internet Access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. If, for any reason, the Contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, then the Sponsor reserves the right at its sole discretion to cancel the Contest and determine the Grand Prize winners from among all eligible Submissions received per Category prior to cancellation, based on the Judging Criteria listed above. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. You hereby represent and warrant that you have read these Official Rules and are fully familiar with its contents. Submissions generated by script or bot are not eligible. As a condition of entering the Contest, Entrant/Grand Prize winners agree that: 1) under no circumstance will Entrant/Grand Prize winner be permitted to obtain awards for, and Entrant hereby waives all rights to claim punitive, incidental, consequential or any other damages, other than for out-of-pocket expenses; 2) all causes of action arising out of or connected with this Contest, or any prize awarded, shall be resolved individually, without resort to any form of class action; and 3) any and all claims, judgments, and award shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees.

  8. RIGHTS IN SUBMISSIONS: For good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, each Entrant hereby irrevocably grants to the Released Parties, and their successors, licensees and assigns, a non-exclusive license (but not the obligation) to reproduce, publicly perform, publicly display, stream, exploit, make derivative works of and otherwise use the Submission, in whole or in part, for any purpose, including without limitation commercial purposes, in any and all media now or hereafter devised throughout the universe in perpetuity.  The Released Parties shall have the right, in their sole discretion, to edit, composite, morph, scan, duplicate, or alter the Submission for any purpose which the Released Parties deem necessary or desirable, and each Entrant irrevocably waives any and all so-called “moral rights” they may have therein. The Released Parties shall retain the rights granted in each Submission even if the Submission is disqualified or fails to meet the Submission Requirements or even if it determined that the Entrant who made the Submission is ineligible to enter the Contest.

  9. REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION: Each Entrant represents and warrants as follows: (i) the Submission does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity; (ii) the Submission meets the Submission Requirements, and does not and will not violate any applicable laws, and is not and will not be defamatory or libelous.  Each Entrant agrees to indemnify the Released Parties and hold them harmless from and against any and all third party claims, liability, judgments, losses, damages, costs, and expenses, including penalties, interest and reasonable outside attorney’s fees and costs in the defense and disposition of such matters arising out of, resulting from, based upon or incurred because of a breach or allegation that, if true, would constitute a breach by Entrant of his or her representations, warranties, covenants or obligations hereunder, including, without limitation, any action or statement made by Entrant while participating in the Contest.

  10. PUBLICITY RELEASE: Without in any way limiting the rights granted in the Submission, as set forth above, acceptance of a prize constitutes winner’s permission for the Released Parties to use each winner’s Submission (if applicable) and his or her name, social media handle, photograph, likeness, voice, biographical information, statements and address (city and state) in and in connection with advertising, marketing, promotional, and/or publicity purposes for the Contest, Released Parties, and all uses of the Submission permitted herein, worldwide and in all forms of media and by any and all means and media now known or hereafter developed, in perpetuity, without any obligation, notice, or further compensation to the winners and each winner hereby releases the Released Parties from any liability with respect thereto.

  11. NATURE OF RELATIONSHIP/WAIVER OF EQUITABLE RELIEF: Each Entrant hereby acknowledges and agrees that the relationship between the Entrant and the Released Parties is not a confidential, fiduciary, or other special relationship, and that the Entrant’s decision to provide the Entrant’s Submission (if applicable) to Sponsor for purposes of the Contest does not place the Released Parties in a position that is any different from the position held by members of the general public with regard to elements of the Entrant’s Submission. Each Entrant understands and acknowledges that the Released Parties have wide access to ideas, stories, designs, and other literary materials, and that new ideas are constantly being submitted to the Released Parties or being developed by their own employees. Each Entrant also acknowledges that many ideas may be competitive with, similar or identical to the Submission and/or each other in theme, idea, plot, format or other respects. Each Entrant acknowledges and agrees that such Entrant will not be entitled to any compensation as a result of any Released Party’s use of any such similar or identical material. Each Entrant acknowledges and agrees that the Released Parties do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the copyright in and to the Submission. Finally, each Entrant acknowledges that, with respect to any claim by Entrant relating to or arising out of a Released Party’s actual or alleged exploitation or use of any Submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief and Entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

  12. NO OBLIGATION TO USE: The Released Parties shall have no obligation (express or implied) to use any Submission, or to otherwise exploit any Submission or, if commenced, to continue the distribution or exploitation thereof, and the Released Parties may at any time abandon the use of the Submission for any reason, with or without legal justification or excuse, and Entrants shall not be entitled to any damages or other relief by reason thereof.

  13. DATES & DEADLINES/ANTICIPATED NUMBER OF CONTESTANTS: Because of the unique nature and scope of the Contest, Sponsor reserves the right, in addition to those other rights reserved herein, to modify any date(s) or deadline(s) set forth in these Official Rules or otherwise governing the Contest.  Sponsor cannot accurately predict the number of Entrants who will participate in the Contest.

  14. FURTHER DOCUMENTATION: If Sponsor shall desire to secure additional assignments, certificates of engagement for the Submission or other documents as Sponsor may reasonably require in order to effectuate the purposes and intents of these Official Rules, then each Entrant agrees to sign the same upon Sponsor’s request therefor.

  15. GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

  16. ARBITRATION PROVISION:  By participating in this Contest, each Entrant agrees: (i) that any and all disputes the Entrant may have with, or claims Entrant may have against, the Released Parties relating to, arising out of or connected in any way with (a) the Contest, (b) the awarding or redemption of any prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in New York, New York; (iv) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable Entrant may have entered into in connection with the Contest; (v) the arbitrator shall apply New York law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only Entrant’s and/or Sponsor’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the Entrant or Sponsor; (viii) if the Entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of Entrant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) with the exception of subpart (vi) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein.  If, however, subpart (vi) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither Entrant nor Sponsor shall be entitled to arbitrate their dispute.  For more information on JAMS and/or the rules of JAMS, visit their website at www.jamsadr.com.
